Michael's practice involves representation of a broad range of entrepreneurs and small businesses, focusing on physicians and professional practices, in particular the formation and management of their business endeavors. He concentrates in the fields of health care and business law.
In health care, Michael has worked closely with more than 100 medical practices and physicians and helps them anticipate issues and set the groundwork for smooth operations and the resolution of disputes. This has included:
- Negotiation of relationships with hospitals;
- Joint ventures; and
- Addressing the various regulatory and compliance challenges faced by health care providers.
In business law, Michael serves as de facto general counsel for closely held and small businesses, coordinating all of their legal matters from formation and growth periods to maturity stages and exit strategies. This often involves resolution of management and compensation questions as well as crafting creative solutions for a client's qualified benefits plan to enhance the principals' return on investment in the business. Michael's representations have included:
- Governance, stock transfer and employment contracts;
- Merger, acquisition and sale of businesses; and
- Real estate
Michael has given many presentations to medical groups on various topics addressing the issues and challenges they are facing and has been a presenter for continuing legal education for lawyers and accountants. He has been quoted in the Pittsburgh Tribune-Review on year-end tax tips and has authored an article in Smart Business/Pittsburgh on "Avoiding Hiring Headaches."
